Plaid Gorilla Player's Club – Ambassador Terms & Conditions

These Terms & Conditions ("Agreement") govern participation in the Plaid Gorilla Player's Club Ambassador Program (the "Program"). In this Agreement, "Plaid Gorilla Golf," "Plaid Gorilla," "we," "us," and "our" refer to Plaid Gorilla Golf, the owner and operator of the applicable Plaid Gorilla Golf website and storefront. "You" and "your" refer to the applicant or participant in the Program.
By applying to the Program, accepting approval into the Program, using an ambassador link or code, or continuing to participate in the Program after any update to this Agreement, you agree to be bound by these Terms & Conditions.
1. Program Overview
The Plaid Gorilla Player's Club is an application-based ambassador program that allows approved participants to promote Plaid Gorilla Golf products using assigned referral links, discount codes, or other approved promotional tools.
If approved, ambassadors currently receive:
- A 10% personal discount on eligible Plaid Gorilla Golf gear for their own purchases.
- A 15% commission on Qualifying Referrals, as defined in this Agreement.
Submission of an application does not guarantee acceptance into the Program. Plaid Gorilla Golf may approve, decline, suspend, or remove any applicant or participant in its sole discretion, subject to applicable law.
2. Enrollment and Approval
To apply, you must provide complete, accurate, and current information, including any social media accounts, websites, or other channels through which you intend to promote Plaid Gorilla Golf.
Plaid Gorilla Golf may review your application and may accept, reject, or request additional information before making a decision.
We may reject, suspend, or remove an applicant or ambassador if, in our sole judgment, the applicant or ambassador:
- Promotes illegal, deceptive, hateful, discriminatory, violent, sexually explicit, defamatory, or otherwise objectionable material.
- Infringes or misuses the intellectual property rights of Plaid Gorilla Golf or any third party.
- Misrepresents Plaid Gorilla Golf, its products, its values, or the nature of the relationship with the brand.
- Uses spam, fake engagement, misleading claims, coupon aggregation, unauthorized paid advertising, or other practices that may harm the brand.
- Otherwise acts in a manner that may harm the reputation, goodwill, or legal interests of Plaid Gorilla Golf.
You are responsible for keeping your account and contact information accurate and up to date. Notices sent to the email address associated with your application or account will be deemed received when sent.
3. Ambassador Benefits
If approved, you may receive access to one or more of the following benefits, as determined by Plaid Gorilla Golf:
- A unique referral link.
- A unique ambassador referral code.
- A 10% personal discount code for your own eligible purchases, subject to any exclusions or limitations established by Plaid Gorilla Golf.
- Eligibility to earn a 15% commission on Qualifying Referrals.
- Access to product information, launch updates, promotional assets, or other marketing materials.
All Program benefits are personal to you, revocable, non-transferable, and may be changed, suspended, or discontinued by Plaid Gorilla Golf at any time.
4. Use of Links, Codes, and Brand Assets
You may promote Plaid Gorilla Golf only using links, codes, content, logos, product images, and other brand assets expressly provided or approved by Plaid Gorilla Golf.
You may not:
- Modify brand assets in a misleading or damaging way.
- Present yourself as an employee, owner, legal representative, or agent of Plaid Gorilla Golf.
- Bid on Plaid Gorilla Golf branded search terms, misspellings, or confusingly similar terms in paid search advertising.
- Post your code or link on coupon sites, deal sites, rebate sites, browser extension platforms, or similar services without prior written approval.
- Use spam, unsolicited commercial messages, bots, misleading redirect links, or deceptive marketing methods.
- Purchase through your own referral link or referral code for the purpose of earning commission.
- Use another ambassador's link or code improperly.
- Share your personal discount code with others unless Plaid Gorilla Golf expressly authorizes that use in writing.
Plaid Gorilla Golf may disable links or codes, withhold commissions, or terminate participation for any misuse or suspected misuse.
5. Content and Conduct Requirements
As a Plaid Gorilla Player's Club ambassador, you agree to represent the brand honestly, professionally, and in good faith.
You are solely responsible for your content, channels, statements, and compliance with applicable laws, platform rules, advertising standards, and disclosure obligations.
You must not:
- Make false, misleading, or unsubstantiated claims about Plaid Gorilla Golf or its products.
- Misrepresent pricing, delivery timing, availability, or product features.
- Present pre-order items as in-stock if they are not.
- Use content that is abusive, infringing, defamatory, deceptive, or otherwise harmful to Plaid Gorilla Golf or consumers.
Where required by law or platform policy, you must clearly and conspicuously disclose your relationship with Plaid Gorilla Golf in your posts, videos, stories, emails, or other promotional materials, including through clear language such as "#ad," "#affiliate," or "Plaid Gorilla Golf Ambassador," where appropriate.
6. Orders, Pre-Orders, Fulfillment, and Returns
Plaid Gorilla Golf will process all orders and pre-orders placed by customers through its website or storefront. Plaid Gorilla Golf reserves the right to reject, cancel, refund, or decline any order or pre-order in its sole discretion, including where fraud, payment failure, stock limitations, pricing error, suspected abuse, or policy non-compliance is involved.
For pre-orders, you acknowledge and agree that:
- A referred pre-order does not become commission-eligible at the time the customer places the order.
- Commission is earned only after the applicable item has been fulfilled to the customer.
- Commission remains subject to the return, refund, chargeback, and cancellation rules in this Agreement.
A sale will be treated as a "Qualifying Referral" only when all of the following conditions are met:
- The customer uses your valid referral link or code in a properly tracked transaction.
- The transaction is successfully completed and paid.
- The applicable product is fulfilled by Plaid Gorilla Golf.
- The applicable 30-day return window has expired without a return, refund, chargeback, cancellation, or other reversal.
If an order is canceled, refunded, returned, charged back, found to be fraudulent, self-referred, improperly tracked, or otherwise reversed before the end of the 30-day return window, no commission will be owed on that transaction, and any previously credited commission may be reversed, withheld, or deducted from future payouts.
7. Commission Eligibility and Payment
Approved ambassadors are eligible to earn a 15% commission on Qualifying Referrals, subject to this Agreement.
Commissions are calculated on the eligible net sales amount actually received by Plaid Gorilla Golf, excluding taxes, shipping charges, duties, refunded amounts, chargebacks, discounts not authorized by Plaid Gorilla Golf, and any other excluded amounts determined by Plaid Gorilla Golf in good faith.
Commissions are not payable when an order or pre-order is placed. Commissions are payable only after the applicable order has been fulfilled and the 30-day return window has closed.
Plaid Gorilla Golf may pay approved commissions on a periodic schedule determined by Plaid Gorilla Golf. Plaid Gorilla Golf may also require minimum payout thresholds, payment processor details, tax information, or identity verification before releasing payment.
Plaid Gorilla Golf reserves the right to:
- Review and validate all referred transactions before paying commissions.
- Reverse commissions associated with canceled, refunded, returned, fraudulent, self-referred, improperly tracked, or policy-violating transactions.
- Offset any overpayment against future commissions.
- Withhold payment during investigation of suspected policy violations, suspicious activity, or legal compliance concerns.
Plaid Gorilla Golf's tracking and payment records will control in the event of any discrepancy, absent manifest error.
8. Personal Discount
Your 10% personal discount is intended solely for your own genuine personal purchases from Plaid Gorilla Golf.
It may not be transferred, sold, published publicly, used for resale, or combined with other promotions unless Plaid Gorilla Golf expressly permits it in writing.
Any misuse of the personal discount may result in cancellation of orders, removal of the discount, forfeiture of commissions, suspension from the Program, or termination of this Agreement.
9. Intellectual Property
Plaid Gorilla Golf retains all right, title, and interest in and to its brand name, logos, trademarks, product names, product images, graphics, copy, and other content made available in connection with the Program.
Participation in the Program does not transfer any ownership rights to you.
Plaid Gorilla Golf grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use approved Plaid Gorilla Golf brand assets solely for the purpose of participating in the Program and only while you remain in good standing.
This license ends immediately when your participation ends or when Plaid Gorilla Golf requests that you stop using any asset.
10. Independent Contractor Relationship
You are an independent contractor and not an employee, agent, partner, franchisee, or legal representative of Plaid Gorilla Golf.
Nothing in this Agreement creates any employment, agency, joint venture, partnership, or fiduciary relationship between you and Plaid Gorilla Golf.
You have no authority to make binding commitments, warranties, guarantees, or representations on behalf of Plaid Gorilla Golf.
11. Termination and Suspension
This Agreement begins when you are accepted into the Program and continues until terminated by either party.
Plaid Gorilla Golf may suspend or terminate your participation at any time, with or without cause, to the extent permitted by applicable law, including for inactivity, suspected misuse, reputational risk, legal risk, or breach of this Agreement.
Upon termination or suspension, Plaid Gorilla Golf may immediately disable your links, codes, account access, and use of any brand assets.
You must promptly stop representing yourself as a Plaid Gorilla Player's Club ambassador and stop using Plaid Gorilla Golf intellectual property or promotional materials.
Plaid Gorilla Golf may hold unpaid commissions for a reasonable period after termination to verify returns, refunds, chargebacks, cancellations, and compliance. Commissions that have not yet become payable under this Agreement at the time of termination may be forfeited if the underlying transaction does not qualify.
12. Limitation of Liability
To the maximum extent permitted by applicable law, Plaid Gorilla Golf will not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages arising out of or relating to the Program or this Agreement, including loss of profits, revenue, opportunity, goodwill, business interruption, or data, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, Plaid Gorilla Golf's aggregate liability arising out of or relating to the Program or this Agreement will not exceed the total commissions paid or payable to you under this Agreement during the twelve-month period preceding the event giving rise to the claim.
13. Indemnity
You agree to defend, indemnify, and hold harmless Plaid Gorilla Golf and its owners, officers, employees, contractors, affiliates, successors, and assigns from and against any claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable legal fees, arising out of or related to:
- Your participation in the Program.
- Your content, statements, or marketing practices.
- Your breach of this Agreement.
- Your violation of any law, regulation, platform rule, or third-party right.
14. Disclaimers
The Program, website, referral system, links, codes, and all related materials are provided on an "as is" and "as available" basis.
Plaid Gorilla Golf makes no representation or warranty, express or implied, regarding uninterrupted operation, tracking accuracy, availability, acceptance into the Program, sales volume, or commission earnings.
Plaid Gorilla Golf may modify, suspend, or discontinue any aspect of the Program at any time, including commission rates, personal discount amounts, eligibility criteria, payout timing, and promotional assets.
15. Modifications
Plaid Gorilla Golf may update or modify these Terms & Conditions at any time by posting an updated version or otherwise notifying ambassadors.
Unless otherwise stated, changes take effect when posted. Continued participation in the Program after changes take effect constitutes acceptance of the revised Terms & Conditions.
16. Governing Law and Venue
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Any dispute arising out of or relating to this Agreement or the Program will be brought exclusively in the courts located in Alberta, Canada, and you consent to the jurisdiction of those courts.
17. Miscellaneous
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions will continue in full force and effect.
No waiver by Plaid Gorilla Golf of any breach or default will be deemed a waiver of any preceding or subsequent breach or default.
You may not assign or transfer this Agreement or any rights under it without Plaid Gorilla Golf's prior written consent. Plaid Gorilla Golf may assign this Agreement in connection with a merger, sale, reorganization, or transfer of the business or Program.
This Agreement constitutes the entire agreement between you and Plaid Gorilla Golf regarding the Program and supersedes prior discussions or understandings relating to the Program.
